Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by ChairPro Inc. ("ChairPro," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service.

1. Definitions

For purposes of these Terms, "Service" means the ChairPro platform, including booking tools, messaging systems, payment facilitation, hosted pages, integrations, and related functionality.

"Tenant" means any individual or business that creates an account to use ChairPro for professional or commercial purposes.

"Customer" means any end user, client, or recipient of services provided by a Tenant.

"Content" means any data, text, images, media, contact information, customer records, or other materials uploaded, stored, or transmitted through the Service.

"Credits" means non-monetary units issued by ChairPro for use of messaging or related functionality.

"Third-Party Services" means external services integrated with ChairPro, including but not limited to Stripe and Google.

2. Nature of the Service

ChairPro provides a technology platform for professional studios to manage bookings, customer interactions, messaging, and payments.

ChairPro acts solely as a service provider and infrastructure platform. ChairPro is not a party to any transaction, agreement, or relationship between a Tenant and its Customers. All customer relationships, services, pricing, and obligations are solely between the Tenant and its Customers.

ChairPro does not act as a merchant of record, payment processor, agent, partner, or fiduciary for any Tenant.

3. Account Responsibility

The Service is intended for business use. You are responsible for all activity under your account, including actions taken by any authorized users.

You are responsible for maintaining the confidentiality of your account credentials and for ensuring that access to your account is properly controlled.

ChairPro is not liable for any loss or damage arising from unauthorized access to your account.

4. Data and Content

ChairPro stores and processes Content provided by Tenants, including business information, addresses, contact details, social media identifiers, images, and customer records such as names, contact information, and service history.

ChairPro processes this data solely to provide the Service, including booking management, customer segmentation, messaging, and related functionality.

You represent and warrant that you have all necessary rights, permissions, and legal bases to collect, use, and share all Content uploaded to or processed through the Service.

ChairPro acts as a data processor on behalf of the Tenant. You are solely responsible for compliance with all applicable data protection, privacy, and marketing laws.

ChairPro does not verify the accuracy of any Content and makes no guarantees regarding data accuracy, completeness, or reliability.

ChairPro does not guarantee data retention and you are responsible for maintaining backups of any data you consider important.

5. Content License

You grant ChairPro a worldwide, non-exclusive, royalty-free license to store, process, display, and transmit your Content solely for the purpose of providing the Service.

You retain all ownership rights in your Content.

6. Messaging and Communications

ChairPro enables Tenants to send communications to Customers, including email and SMS messages, and to segment Customers based on service history or other criteria.

ChairPro may automatically initiate communications on your behalf based on actions such as waitlist activity, booking changes, or campaign configuration.

You are solely responsible for the content, timing, recipients, and legality of all communications sent through the Service.

You are responsible for obtaining all required consents, honoring opt-outs, maintaining suppression lists, and complying with all applicable laws and regulations, including CAN-SPAM, TCPA, and similar laws.

ChairPro does not guarantee message delivery, routing, timing, inbox placement, or performance.

ChairPro may suspend or restrict messaging functionality at its discretion to protect compliance, platform integrity, or deliverability.

7. Credits and Messaging Usage

ChairPro may provide messaging functionality through a credit-based system.

Credits are a revocable, non-transferable license with no cash value and no property rights. Credits may not be resold, transferred, or redeemed for money.

Credits are consumed upon initiation of a messaging attempt, regardless of delivery outcome.

Email and SMS credits are distinct and may be issued, priced, and consumed at different rates.

ChairPro may modify credit pricing, allocation, usage rules, or availability at any time without notice.

Included credits may roll over subject to limits defined by ChairPro. Purchased credits do not expire while the account remains active and in good standing unless otherwise required by law.

Upon cancellation, suspension, or termination of an account, all credits are immediately forfeited without refund except where required by law.

ChairPro may reverse, remove, or withhold credits associated with fraud, abuse, chargebacks, payment reversals, or promotional misuse.

8. Payments and Checkout

ChairPro provides tools that enable Tenants to request, manage, and collect payments from their Customers, including through hosted checkout pages made available under the ChairPro domain.

ChairPro acts solely as a technology provider and is not a party to any transaction between a Tenant and its Customers. ChairPro does not act as a merchant of record, payment processor, financial institution, escrow agent, intermediary, or fiduciary. All transactions are conducted directly between the Tenant and its Customers.

ChairPro does not at any time receive, hold, possess, control, or have access to funds paid by a Tenant's Customers. All payments are processed directly between the Tenant and its Customers through third-party payment providers, including but not limited to Stripe.

By using the Service, you agree to be bound by the terms and conditions of the applicable payment provider. ChairPro is not responsible for the performance, availability, errors, delays, account actions, policies, or decisions of any payment provider. Any payment disputes, chargebacks, account holds, reserves, or interruptions are solely between the Tenant and the payment provider.

ChairPro may provide hosted checkout pages as a convenience and technical interface only. The Tenant is solely responsible for all information presented on such pages, including pricing, service descriptions, taxes, fees, policies, and transaction terms. ChairPro does not verify or guarantee the accuracy of any checkout content.

The Tenant is solely responsible for all aspects of transactions with its Customers, including billing accuracy, fulfillment of services, refunds, cancellations, dispute resolution, and compliance with applicable laws, including tax and consumer protection requirements. ChairPro does not issue refunds on behalf of Tenants and is not responsible for any disputes or claims arising from transactions.

The Tenant bears all financial risk associated with transactions, including fraud, chargebacks, disputes, non-payment, and payment reversals. ChairPro is not responsible for any fees, penalties, reserves, or foreign exchange costs imposed by payment providers.

ChairPro may suspend or restrict accounts associated with excessive disputes, chargebacks, fraud indicators, or elevated payment risk.

ChairPro does not guarantee payment success, authorization, settlement timing, or availability of payment functionality. Payment-related features may be modified, restricted, or discontinued at any time.

You agree to indemnify and hold harmless ChairPro from any claims, disputes, losses, or liabilities arising from transactions with your Customers, including payment disputes, refunds, fulfillment issues, or violations of applicable laws.

9. Acceptable Use

You may not use the Service for unlawful activity, spam, abuse, or misuse of integrations or infrastructure.

The Service may not be used for adult content or for drug-related content or commerce, including marijuana and stronger substances, regardless of local laws.

ChairPro may impose usage limits, rate limits, or restrictions to protect system performance, security, and integrity.

10. Promotions and Incentives

ChairPro may offer promotions, referral programs, or incentives.

All promotions are subject to change, limitation, or revocation at ChairPro's sole discretion.

ChairPro may withhold or revoke promotional benefits in cases of fraud, abuse, or manipulation.

11. Third-Party Services

The Service relies on Third-Party Services, including but not limited to Stripe and Google.

ChairPro is not responsible for the availability, functionality, or actions of Third-Party Services.

Any disruption, limitation, or termination of Third-Party Services may impact the Service.

12. Service Availability and Modifications

The Service is provided on an "as is" and "as available" basis.

ChairPro does not guarantee uptime, availability, or uninterrupted operation.

ChairPro may modify, replace, or discontinue any feature or functionality at any time without notice.

ChairPro may suspend or terminate access to the Service at its sole discretion.

13. No Guarantees

  • The accuracy or availability of data.
  • Message delivery or communication performance.
  • Customer acquisition, retention, bookings, or revenue.
  • Business outcomes or platform effectiveness.

14. Security

While ChairPro implements reasonable security measures, no system is guaranteed to be secure.

ChairPro is not liable for unauthorized access, data breaches, or security incidents.

15. Limitation of Liability

To the maximum extent permitted by law, ChairPro's total liability is limited to the fees paid by you in the three months preceding the event giving rise to the claim.

ChairPro is not liable for any indirect, incidental, consequential, or special damages, including loss of revenue, data, or business opportunities.

16. Indemnification

You agree to indemnify and hold harmless ChairPro from any claims, damages, liabilities, or expenses arising from your use of the Service, your Content, your communications, or your violation of these Terms or applicable laws.

17. No Agency Relationship

Nothing in these Terms creates any agency, partnership, joint venture, or fiduciary relationship between you and ChairPro.

18. Force Majeure

ChairPro is not liable for any delay or failure resulting from causes beyond its reasonable control.

19. Dispute Resolution and Arbitration

All disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration.

ChairPro retains the right to determine the arbitration provider, venue, and location, to the extent permitted by law.

20. Governing Law

These Terms are governed by the laws of [State], without regard to conflict of law principles.

21. Updates to Terms

ChairPro may update these Terms at any time.

Continued use of the Service after changes take effect constitutes acceptance. If you do not agree to updated Terms, you must discontinue use of the Service.
